These sales conditions are agreed on the one hand by SOLSTISS, with a share capital of 631.000 euro, with its headquarters in Caudry, and registered at the company and trade registry of Cambrai under registration number 74 B 21 hereinafter referred to as “SOLSTISS” and on the other hand, and person or company wishing to make a purchase through the “SOLSTISS” Internet website, hereinafter referred to as “the buyer”.
“SOLSTISS” was registered as a trademark with the INPI by Solstiss SAS in 1979 four classes 23, 24, 25, 26.
Purpose
The purpose of these conditions of sale is to define the contractual relationship between SOLSTISS and the buyer, and the conditions applicable to any purchase made on the SOLSTISS website, whether the buyer is a professional or a private consumer.
The purchase of a good through this website implies the buyer’s acceptance without reservation of these conditions of sale.
The conditions of sale overrule all other general or specific conditions not expressly agreed by SOLSTISS.
SOLSTISS reserves the right to modify these conditions of sale at any time. In such a case, the applicable condition shall be those that are valid on the date in which the buyer placed their order.
Characteristics of the products offered
The products offers are those which appear in the catalogue published on SOLSTISS’ website.
Our product offers are valid within the limit of available stocks.
Each product includes a brief description written by Solstiss, allowing the consumer to find out more about the product’s characteristics.
The photographs used to illustrate the products in the catalogue are non-contractual. They are all similar as possible but cannot guarantee complete resemblance with the product offered, in particular with regard to colours. In the event that any errors are introduced, SOLSTISS shall not under any circumstances be held responsible.
Prices
The prices appearing in the catalogue are expressed in Euro before taxes. The price indicated in the order confirmation is the final price, including all takes at the VAT applicable on the day of purchase for shipments in France and where applicable in the states of the European Union in accordance to current regulations. Any changes in the rates may affect the prices of the products.
VAT
Regulations are established by the European Union.
* Shipments in France: Product shall be invoiced with French VAT included.
* Shipments to an EU member state
- If the recipient is VAT-liable in the country of destination: the invoice shall exclude VAT after verification of the identification number.
- If the recipient is not VAT-liable: the invoice shall include French VAT.
* Shipments outside the European Union: invoices shall exclude taxes and rights.
SOLSTISS reserves the right to modify these prices at any time; however the prices which appear on the catalogue on the day in which the order is places shall be sole price applicable to the buyer.
The indicated prices do not include shipping costs.
Order
The buyer who wishes to purchase a product must:
– complete the identification for on which they will provide all the information requested or give their client number if they have one;
– complete the purchase order on line giving all the reference codes of the chosen products;
– validate their order after verifying it is correct;
– make their payment;
– confirm their order and payment.
Confirmation of the order implies acceptance of these conditions of sale, acknowledgement of having read these conditions and renounce their own conditions of purchase or any other conditions.
All data provided and the recorded confirmation shall be deemed proof of the transaction. The confirmation shall act as the signature and acceptance of the transaction carried out.
We shall immediately confirm receipt of the order.
However, for EU clients liable for VAT, the confirmation of receipt of the order shall still not represent a final acceptance of the order.
This shall be formally confirmed by return e-mail once the VAT number provided has been verified.
SOLSTISS reserves the right to cancel any order from a client with whom there is dispute or litigation over the payment of a prior order.
The information provided by the buyer while ordering, commit the buyer to: not hold the seller responsible in the event of any errors made while entering their address and thus resulting in the eventual impossibility to deliver the product.
Forms of payment
The price of the products is to be settled on the day the order is placed.
The order validated by the client shall not be deemed definitive until the involved banking payment centres approved the payment.
In the event of refusal by the aforementioned centres, the order shall be automatically cancelled and the client shall be informed of this by e-mail.
Payments shall be made with bank cards: payment will be handled by the secure payment system of Crédit du Nord which uses SSL (Secure Socket Layer) protocol so that all information is encrypted and so that no third party can access said details during the payment process.
When requested, the buyer shall be sent a paper VAT invoice.
Opting out right
In accordance with article L.121-16 of the French Consumer’s Code, the buyers, non-professional individuals, benefit from an opting out right of 7 working days as of the day or receipt of their order to return their product to the seller for its exchange or a full refund without any penalty charges with the exception of return shipping costs.

In the event of exercising the opting out right, SOLSTISS is obliged to refund the monies paid by the client, without any charges, except for the return shipping costs.
The refund is due within a maximum of 30 days in accordance to article L.121-20-1 of the French Consumer’s Code.
Deliveries
After confirmation of the order, SOLSTISS commits to deliver to the transporter all the items ordered by the buyer within a maximum of 72 hours.
The transporter shall deliver the merchandise to the address indicated on the purchase order.
SOLSTISS shall not be held responsible for any delays that may arise.
War, public disorder and fire are considered as cases of force majeure and relieve the seller of their obligation to deliver.
Risks shall be borne by the buyer as of the moment in which the products leave the premises of SOLSTISS.
Always verify your package upon receipt. In the event of damage during transport, any claims shall be made directly to the transporter within forty-eight hours of delivery.
Delivery times are solely given for informative purposes; if said period exceeds thirty days following the placing or the order, the sales contract may be terminated and the buyer refunded.
If the client wishes for two delivery places, the client must make two separate orders and cover the subsequent related delivery charges.
Warranty
All products supplied by the seller are covered by the warranty legally stipulated in articles 1641 et seq. of the French Consumer’s Code.
In the event of non-conformity of a product sold, it can be returned to the seller who shall accept it and exchange it or make a refund.
In all cases, the responsibility of SOLSTISS is strictly limited to the value of the product in question, taking its value on the day of sale and there shall be no scope for a claim against the brand of the company that manufactured the product.
The client is covered by the statutory guarantee of dispossession and hidden defects (article 1625 et seq. of the French Consumer’s Code).

Within thirty days following delivery.
If the buyer addresses the courts of law, it must be done as soon as possible following discovery of the hidden defect (article 1648 of the French Consumer’s Code).
Liability
The seller, during the online sales process, is solely held liable by an obligation of means; its liability shall not cover any damage caused by the use of the Internet network such as the loss of data, intrusion, virus, and breakdown in service or other involuntary problems.
Regulations covering litigation
These conditions of online sale are subject to French law.
Solstiss cannot be held responsible for damages of any type that may result from incorrect use of the commercialised prducts.
The responsibility of Solstiss shall be in any case limited to the sum of the order shall not be questioned due to simple errors or omissions which may be existed despite all the precautions taken in the presentation of the products.
As a general rule and subject to the Courts, respect of the dispositions of this contract with regard to the contractual warranty presupposed that the buyer honours their financial commitment with the seller.
Any complaints or disputes shall always be received in goodwill, and good faith shall always be presumed of those who take the time to express their situation.
In the event of litigation, jurisdiction is attributed to the competent courts of Cambrai, notwithstanding plurality and defenders or introduction of third parties.
Filing - Proof
SOLSTISS shall file the purchase orders and invoices on a reliable and durable support constituting a true copy in accordance with the dispositions of article 1348 of French Civil Code.
The computerised records of SOLSTISS shall be considered by the parties as proof of the communications, orders, payments and transactions to have taken place between the parties.
Intellectual property
All elements of the SOLSTISS website are the intellectual and exclusive property of SOLSTISS. Nobody is authorised to copy, exploit, redistribute or use for any purpose, even partially, the elements of the website, be they software, visual or sound. All simple links or hypertext is strictly forbidden without the prior written authorisation of SOLSTISS.
Personal data
In accordance with the law concerning computers, files and freedom of January 6th 1978, er 1978, all personal information concerning the buyers may be subject to computerised processing.
The computerised processing of information, including the management of the e-mail address of the site’s users was declared to CNIL (National Commission for Information Technology and Civil Liberties) on December 10th 2008 and registered with number 1335154.
The client has the right to access, modify, rectify and remove personal information regarding them, and can exercise this right through SOLSTISS.
Moreover, SOLSTISS agrees to not communicate the contact details of its clients, for free or for payment, to a third party.
These general conditions of sale are valid as of December 10th 2008.
